Terms of Service

The "Service" means our websites and products: ducket.io, argus.ducket.io, app.ducket.io, the Ducket API at api.ducket.io, our MCP server, our documentation, and the software and data behind them. "Argus" is our sponsorship-signal feed; the "Sponsorship OS" is our deal-execution product, available by invitation.

Our Privacy Policy explains how we handle personal data and forms part of these Terms.

1. Eligibility and accounts

The Service is for business use. You must be at least 18 and using the Service for an organization or a professional purpose.

Keep your login credentials confidential. You are responsible for activity under your account and for the people you invite into your organization. Tell us promptly at hello@ducket.io if you suspect unauthorized access. Provide accurate account information and keep it current.

The person who creates an organization holds its subscription and is the only member who can manage billing, seats, invitations, and members; everyone else on the team has equal access to the product itself. Organizations set up by our team, and those created before this model, may instead have several members with administrator permissions. Either way, the organization is responsible for the actions of its members.

2. Subscriptions, billing, and refunds

Plans. Current plans, prices, and what they include are shown on our pricing page and at checkout. Prices may be shown in more than one currency; the amount at checkout is what you pay.

Payment. Self-serve subscriptions are paid upfront. Your payment card is charged when you complete checkout, and your access starts immediately. There is no free trial on the self-serve plan.

14-day money-back window. If Argus is not right for you, email us at hello@ducket.io within 14 days of your first charge on a new subscription and we will refund that charge in full. Refunds are processed by hand, so allow a few business days for the money to reach your card. The window applies to the first charge on a new subscription only, not to renewals or to seats added later.

Trials. We may grant a trial by arrangement, for example where the Ducket team sets your organization up directly. Where a trial is granted, its length and terms are shown in the product, we send at least one reminder before your first charge, and canceling before it ends costs nothing.

Renewal and cancellation. Subscriptions renew automatically, monthly or annually depending on your billing cycle, until canceled. You can cancel anytime through the billing portal in the product. Cancellation takes effect at the end of the current billing period; you keep access until then. Apart from the 14-day money-back window above, and except where the law requires otherwise, payments are non-refundable and we do not give prorated refunds for partial periods.

Seats. Pricing is per seat. The self-serve plan includes one seat, which is the person who created the organization; other plans include the number of seats shown at checkout. You can add seats as a paid add-on at the same per-seat price, prorated for the current period. You cannot reduce paid seats below the number currently in use; remove members first, then reduce seats.

Price changes. We may change prices with at least 30 days' notice by email or in the product. Changes apply from your next renewal. If you do not agree, cancel before the change takes effect.

Taxes. Prices exclude taxes unless stated. You are responsible for applicable taxes other than taxes on our income.

Late or failed payment. If payment fails or your subscription lapses, we may suspend access to paid features. Your organization's data is kept, and you retain access to billing and settings so you can restore service. We may delete data from long-suspended accounts only after notice (section 10).

Payment processing. Payments are processed by Stripe. Your card details go directly to Stripe; we never store them.

3. What the data is, and is not

Argus and our sourcing products report observations of public information at a point in time: which companies appeared as sponsors of which events, at what tier, and when, each backed by a dated citation or capture of the source page. Rankings and scores are derived from that cited evidence.

We work hard on accuracy, and every factual claim links to its source. But public pages change, publish errors, and go dark, and coverage is never complete. Therefore:

Where the product shows a confidence band, a probability, or a ranking, it is an estimate to help you prioritize, not a promise.

4. Acceptable use

You agree not to:

Outreach responsibility. Where the Service helps you draft or send messages to prospective sponsors, every message is approved by a human before sending. You are responsible for the content of messages sent at your direction and for having a lawful basis to contact recipients. We maintain a suppression list and will not send to anyone who has opted out; you agree not to attempt to contact suppressed recipients through the Service.

We may suspend accounts that violate this section, with notice where practicable.

API access is licensed as part of, or as an add-on to, a subscription. In addition to the rest of these Terms:

6. Your content

You retain ownership of the content you submit: event details, sponsor lists, watchlists, messages, and settings. You grant us the license needed to host, process, and display that content in order to provide the Service. You are responsible for having the rights to the content you submit.

We may use aggregated or de-identified information derived from use of the Service to operate and improve it. If you give us feedback, we may use it without obligation.

7. Our intellectual property

The Service, including the software, design, documentation, and the Ducket dataset (our compiled, cited record of sponsorship activity), belongs to Ducket and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your organization's internal business purposes during your subscription. No other rights are granted.

8. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only as needed under these Terms. This does not apply to information that is public, independently developed, or lawfully received from someone else. Disclosures required by law are permitted with notice where allowed.

9. Third-party services

The Service depends on third-party providers (for example Stripe for payments and Google for optional sign-in). Their services are governed by their own terms. We are not responsible for third-party services, but we choose and contract with providers carefully, as described in our Privacy Policy.

10. Suspension and termination

You may stop using the Service and cancel at any time (section 2). We may suspend or terminate your access if you materially breach these Terms and, where the breach is curable, fail to cure it within 14 days of notice; or immediately for serious violations such as unlawful use, attempts to breach security, or non-payment after notice.

On termination, your access ends. If you ask in writing within 30 days of termination, we will permanently delete your organization's data, subject to the retention rules in our Privacy Policy (for example billing records we must keep by law, and the public sponsorship record, which exists independently of any customer). We may delete organization data from accounts that remain canceled or suspended after reasonable notice.

Sections that by their nature should survive (including 3, 4, 6, 7, 8, 12, 13, 14, 15) survive termination.

11. Changes to the Service and these Terms

We improve the Service continuously and may change or retire features. Features marked beta, preview, or experimental are provided as-is and may change or disappear without notice.

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the product. Continued use after the effective date means you accept the updated Terms. If you do not agree, cancel before they take effect.

12. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that the data will meet the standard described in section 3 in every case.

You will defend and indemnify Ducket against third-party claims arising from your content, your outreach (including claims that messages sent at your direction violated applicable law), or your breach of these Terms. We will notify you promptly of any such claim and reasonably cooperate at your expense.

15. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, excluding its conflict-of-laws rules. The courts of Hong Kong have exclusive jurisdiction over disputes arising from these Terms, and each party consents to that jurisdiction.
